General Terms and Conditions (Short Version)
This text is a brief summary of the key terms and conditions of sale and delivery of spare parts via partsde.com. Specific order conditions (items, prices, terms, Incoterms, payment method) are recorded in our quotation, order confirmation, and/or invoice.
Important: In case of discrepancies, the conditions specified in the order confirmation/invoice for a specific shipment take precedence.
1) Scope and Priority of Documents
These conditions apply to supplies of spare parts and related services processed via partsde.com, unless otherwise agreed in writing. Any differing conditions of the buyer apply only with our written confirmation.
- Priority of documents: (1) order confirmation/invoice, (2) this summary, (3) other agreed appendices.
- If special conditions (Incoterms, packaging, insurance, payment terms) are agreed for a specific order, they take precedence.
2) Quotation and Contract Conclusion
Our Offer (Quotation) is for information purposes unless explicitly stated otherwise. The contract is considered concluded after our written order confirmation or issuance of an invoice/Pro-Forma and its acceptance by the buyer (by payment or other agreed method).
We work with part numbers and/or machine data (brand/model/serial number). If the buyer provides incomplete or contradictory data, processing times and identification correctness may be affected.
3) Availability and Lead Times
Both options are possible within one order: some items available from stock in Germany, some ordered from the manufacturer. In the quotation/order confirmation, we indicate estimated lead times for each item.
For export shipments, processing export customs procedures usually takes 1 to 3 working days (depending on complexity and number of items).
4) Prices, Currency, and VAT
Prices are specified in the quotation/invoice. VAT applies in accordance with EU legislation and transaction terms. Supplies within Germany are strictly invoiced with 19% VAT.
For export supplies and EU B2B, a 0% VAT rate is possible upon compliance with conditions and provision of supporting documents. Details — on the “Export & VAT-free sales” page.
For buyers from the USA, by agreement, invoicing in USD is possible with payment to a US account.
5) Payment
Available payment options are specified in the invoice/Pro-Forma. Typical options:
- Bank Transfer: SWIFT (international), SEPA (within EU).
- Card Payment: possible, payment processing fee applies (depends on amount/country/card type).
Unless otherwise agreed in writing, shipment is performed after receipt of payment.
6) Delivery, Incoterms, and Transfer of Risk
We ship spare parts from our warehouse in Germany and can organize delivery within the EU and worldwide. Delivery terms are agreed individually; most typical — EXW / FCA / CPT.
- EXW / FCA: transport organized by the buyer (or their carrier). Risk transfers upon handing over goods to buyer/carrier.
- CPT (Carriage Paid To): we organize and pay for transport to the agreed point. Risk usually transfers upon handing over to the first carrier (unless otherwise agreed).
Import duties, import VAT, and fees in the destination country are typically paid by the consignee/importer (unless agreed otherwise).
7) Inspection, Transport Damage, and Claims
The buyer is obliged to inspect the goods upon receipt. In case of visible damage to packaging/goods, it must be recorded with the carrier and photos taken (packaging, labels, damage).
Claims regarding discrepancies/defects are considered with documentary proof (photos/description, item numbers, order/invoice number) and following the agreed procedure.
8) Returns, Warranty, Identification Correctness
Return is possible only upon prior agreement. For items ordered specifically for the client, as well as for certain categories (e.g., electrical components/electronics), return may be restricted or impossible.
If we identify parts based on your machine data, we are responsible for identification correctness provided you supplied accurate data: brand/model and machine/engine serial number.
It is not allowed to provide serial numbers/data from "similar" or "same" machines: the same model could be produced for decades and have multiple modifications; parts may be incompatible.
9) Export Control and Sanctions
Shipments may be subject to export control, sanctions regimes, and end-user/destination checks. The buyer agrees to provide truthful information necessary for checks and comply with applicable restrictions.
If shipment execution is impossible due to export control/sanctions/embargo requirements, deadlines may be suspended, and shipment — cancelled/terminated within applicable law and without liability for impossibility of performance.
10) Privacy and Data Protection
We process personal data in accordance with applicable data protection legislation (including GDPR). Details — in the Privacy Policy on partsde.com.
11) Applicable Law and Jurisdiction
- Law of the Federal Republic of Germany applies. UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
- Place of jurisdiction (if buyer is a merchant/legal entity): Heidenheim an der Brenz, Germany.
In case of discrepancies between language versions, the German version conditions may take precedence (if stated in the applicable terms version).
